Power of Attorney for Company Incorporation in the UAE
If you are setting up a company here and cannot attend in person, a power of attorney authorises someone to sign the incorporation documents and deal with the licensing authority on your behalf.
We do not register companies. We prepare the document that lets someone else do it.

The document that has to exist before the company does
Most powers of attorney are granted by a company. This one is granted before the company exists.
That changes what can go in it, and what we need from you. There is no trade licence to reference, no memorandum yet, and no company stamp. The authority comes from you personally, as the founder or shareholder, and it must meet the requirements of the specific authority you are registering with — a free zone, or the mainland department in the relevant emirate.
Requirements are not the same across authorities. Tell us where you are registering at the start. A power of attorney meeting one authority's requirements but presented to another is one of the more expensive ways to lose a week.
What the authority can cover
Depending on how the document is worded and what your registering authority requires:
- Sign the incorporation documents and the memorandum of association
- Submit the application and deal with the licensing authority on your behalf
- Reserve or confirm the trade name
- Sign the lease or office agreement the licence requires
- Collect the licence and the associated documents
- Represent you in the registration process generally
Not all of these belong in every document, and some authorities require specific wording for specific powers. If your setup consultant or the authority has told you what the document must contain, send us that — we will make sure it says exactly that.
Who needs one
You are abroad and setting up a UAE company. The most common case. You do not need to travel for the paperwork.
You are using a business setup consultant and they have asked you for a notarized power of attorney before they can file.
You are one of several founders and the others are handling the registration.
Your business partner is here and you are not — they can act for you in the registration.
You are in the UAE but cannot attend the appointments the registration requires.
What we do not do
We do not register companies. We are not a business setup firm and we do not file with any licensing authority.
We do not advise on structure or jurisdiction. Free zone or mainland, which emirate, which activity, how many shares — those are decisions for you and your setup consultant.
We do not draft the memorandum of association or the corporate documents. If those need drafting, that is your lawyer or your consultant. We coordinate the notarization of the power of attorney.

If you already have a consultant, this is one document in their checklist and we will get it right. If you do not have one yet, you will usually want to choose your jurisdiction first — the power of attorney must meet that authority's requirements.

- Passport copy of the founder or shareholder granting the authority
- Emirates ID, where the notarization route requires one
- Passport copy — and full legal name — of the person being authorised
- Which authority you are registering with — the free zone by name, or mainland and which emirate
- The proposed company name, or the trade name reservation if you already have it
- What exactly the representative should be able to do
- Any wording your setup consultant or the authority has specified

Your document is notarized by a licensed private notary through the official judicial systems in the UAE — Dubai Courts, the Ministry of Justice, or the Abu Dhabi Judicial Department. Nuhuj coordinates the process; the notarization is performed by the licensed notary.

Frequently asked questions
Can I set up a UAE company without coming here?
The incorporation power of attorney is arranged remotely — verification with the notary is completed by video call. Whether the rest of the registration can be completed without you depends on the authority you are registering with, and that is a question for them or for your setup consultant.
Do you register the company for me?
No. We are not a business setup firm. We coordinate the notarization of the power of attorney that authorises whoever does.
The company does not exist yet. Whose power of attorney is it?
Yours, personally, as founder or shareholder. That is what makes this document different from a corporate power of attorney — there is no company to grant it, so the authority comes from you as an individual.
Does it matter which free zone or emirate?
Yes. Requirements differ between authorities, and the document must meet the requirements of the one you are registering with. Tell us at the start.
Can my business partner sign for me?
Yes — a partner or co-founder is often the person authorised. They are named in the document and it states what they may do.
Can one document cover several founders?
Yes. Each additional principal is AED 300. Tell us how many at the start so the price is right from the first message.
Do I need an Emirates ID?
Not always. Notarization through Dubai Courts requires a valid Emirates ID. Other routes accept a passport. Which one applies depends on your situation, the emirate and the document — tell us and we will confirm exactly what is needed, and the exact price, before you pay anything.
How long does it take?
1–2 working days from the moment we have all your documents. If your filing has a date, tell us at the start and we will confirm whether it is achievable before you pay.
What language is the document issued in?
Arabic. Bilingual translation of one page is included in the price; each additional translated page is AED 150.
