Power of Attorney for a Company Director or Representative

A company can authorise a named person to act on its behalf — a manager, a director, or a representative appointed for one specific purpose.

We prepare the document, arrange its certified translation, and coordinate its notarization with a licensed private notary. Everything is confirmed with you in writing before you pay.

Which of these describes your situation?

The company needs to authorise someone

From AED 1,350

Your company needs a named person — a manager, a director, an employee — to act for it: dealing with authorities, signing on defined matters, handling operational requirements.

The authority is granted by the company, through whoever is entitled to sign for it.

An authorised signatory cannot attend

From AED 1,350

The person who normally signs for the company is abroad, travelling, or otherwise unable to be present, and something needs to be signed or done.

The authority is granted by that signatory, within what they themselves are entitled to delegate.

You need a representative for one specific matter

From AED 1,350

Not general authority — one transaction, one authority, one dealing. A contract, a submission, a registration, an appearance before a government department.

Narrower is usually better — less exposure, and easier to explain to whoever is asking for the document.

If you are not sure which of the three applies, describe the situation and we will tell you. That question is more important than any wording that follows it.

Who in the company can grant this

The authority has to come from someone entitled to give it — the person or people the company's trade licence and memorandum name as authorised to sign.

This is where corporate documents most often fail. A power of attorney signed by someone the company's own documents do not authorise to sign it is rejected, and the rejection usually comes late.

Some documents also require a board resolution before the power of attorney can be granted. Whether yours does depends on the company, its constitution, and what the document is for.

Send us the trade licence and the memorandum and we will tell you what we need before anything is submitted. We check this every time, on every corporate document.

We do not advise on your company's governance or interpret your constitution — if there is a real question about who holds authority, that is one for your lawyer. What we do is make sure the document does not fail on something that could have been caught at the start.

What your representative can be authorised to do

Depending on how the document is worded:

  • Deal with government departments and authorities on the company's behalf
  • Sign defined documents — specified contracts, applications, submissions
  • Handle licensing and renewal matters
  • Represent the company before a named authority or in a named matter
  • Manage defined operational requirements

The list matters more than it looks. Authority drawn too narrowly means your representative is turned away at the counter for the one thing that was left out. Authority drawn too widely is exposure your company does not need.

We will ask what to include and what to exclude, and we will ask why — because the authority receiving the document usually has expectations about how it should be worded.

What we will ask you for

  • Trade licence of the company
  • Memorandum of association or equivalent
  • Passport and Emirates ID of the signatory granting the authority
  • Passport copy — and full legal name — of the person being authorised
  • Board resolution, where the document requires one
  • The specific powers to be granted
  • The authority or department the document will be presented to, if you know it

Requirements vary by document and by the authority it is going to. Send us what you have and we will tell you what is missing — before you pay, not after.

From AED 1,350

Includes one principal, one attorney and one translated page. Each additional translated page — AED 150. Each additional principal or attorney — AED 300.

If you are authorising more than one representative, tell us how many at the start so your price is right from the first message.

The price is confirmed to you in writing before you pay anything.

If your firm handles documents regularly

Company formation firms, PRO services, property companies, relocation and immigration consultants — if you deal with notarized documents often, we can work with you on an account basis:

  • Account pricing for regular volume
  • Invoicing, so your accounts stay clean
  • A single named contact rather than a general line
  • Confirmed turnaround, so you can tell your own client a date

How it works

1

You tell us what you need — message us and describe the situation.

2

We confirm your price and document list — in writing, before anything is paid.

3

We prepare and coordinate — including translation and submission to a licensed private notary.

4

You receive your notarized document — by email, 1–2 working days from the moment we have all your documents.

Processed through official UAE systems

Your document is notarized by a licensed private notary through the official judicial systems in the UAE — Dubai Courts, the Ministry of Justice, or the Abu Dhabi Judicial Department. Nuhuj coordinates the process; the notarization is performed by the licensed notary.

Setting up a company that does not exist yet?

This page covers authorising a director, manager or representative to act for a company that is already registered. If your company has not been incorporated yet, that is a different document — see Power of Attorney for Company Incorporation.

Frequently asked questions

Who in the company can grant a power of attorney?

Whoever the company's trade licence and memorandum authorise to sign for it. Send us both and we will confirm before anything is submitted — a document signed by someone not authorised to sign it is one of the most common corporate rejections.

Do we need a board resolution?

Sometimes. It depends on the company, its constitution, and what the document is for. Send us your documents and we will tell you whether one is needed for your case.

Can a director delegate their own signing authority?

Within what they are themselves entitled to delegate, yes. What that covers depends on your company's constitution — if there is a genuine question about it, that is one for your lawyer, not for us.

Can one document authorise more than one representative?

Yes. Each additional attorney is AED 300. Tell us how many at the start.

Does the signatory need to be in the UAE?

No. Verification with the notary is completed by video call.

Can we limit it to one transaction?

Yes, and for most purposes that is the better choice. Tell us the specific matter and we will arrange a power of attorney limited to it.

Our company is in a free zone, not mainland. Does that matter?

It can affect what the document needs to contain and which authority it is presented to. Tell us at the start.

Do I need an Emirates ID?

Not always. Notarization through Dubai Courts requires a valid Emirates ID. Other routes accept a passport. Which one applies depends on your situation, the emirate and the document — tell us and we will confirm exactly what is needed, and the exact price, before you pay anything.

Can it be revoked?

Yes. Message us and we will explain what the revocation process involves for your document.

Do you provide invoices?

Yes. Every transaction is invoiced, and firms transacting regularly can be set up on account.

How long does it take?

1–2 working days from the moment we have all your documents. If you have a deadline, tell us at the start and we will confirm whether it is achievable before you pay.

Tell us what your company needs

Send us the trade licence and describe what your representative should be able to do. You will receive the exact price, the full document list, and confirmation of whether a board resolution is needed — in writing, before you pay anything.
